where can i get that file,

From your Office XP CD, it's an installation file, it won't do you any good to just "replace" that file. It's best to reinstall from the CD.
Or you can go to http://support.microsoft.com/?kbid=300552 and download the Office XP SP 1, see if that fixes it.
